General Principles
Legislative Decree no. 231 of 8 June 2001 introduced into Italian law a system whereby Entities - including companies - are held administratively liable for a number of offences that may be committed by directors, managers or employees in the interests or to the advantage of the Entity concerned.
The adoption of the Organisational Model
Poste Italiane has adopted its own specific Organisational Model, with the aim of building up a structured, coherent system of guidelines, operating procedures and other specific measures. Among the aims of this model, inspired by sound company management criteria, is to prevent offences set out in the Decree from being committed. Similar reference models have also been adopted at Group level.
The Supervisory Body
The Board of Directors of Poste Italiane has entrusted a Body composed of three members outside of the Company, with proven experience and skills, with the task of seeing to it that the Organisational Model is complied with, verifying the efficacy of the measures contained therein and deciding upon any updates required. | ||
